Transactional Law Meets Competition

The team began work in the late fall, and then competed against 18 other law schools in Wayne State Law School’s Jaffe/Taft Transactional Law Invitational in Winter and Spring 2023. The invitational competition launched in mid-January with the release of the transaction. Washburn Law’s team represented the Buyer in a complex acquisition of a private, venture-backed pharmaceutical company. The transaction was complicated by a last-minute licensing issue, and the team worked on revising the stock purchase agreement and drafting an indemnity agreement to deal with the problem and get their client to closing. Between late January and early March, the team engaged in several rounds of drafting and revisions in response to their client’s concerns and the Seller’s proposals. At the end of March, two 3L team members (Autumne Hovde and Walker Bassett) and our Coach Sam Foreman traveled to Detroit where the team competed in the live negotiations rounds. Our first competition went very well, and the team tied with two others for 3rd place in drafting! We are looking forward to competing again next year in either the Wayne State or another, similar drafting invitational.
